Stanley Black & Decker to price notes offering via four bookrunners

Tupelo, Miss., Feb. 27 – Stanley Black & Decker, Inc. is marketing dollar-denominated notes (Baa1/A/A-) in the high-grade primary market on Wednesday, according to a 424B5 filing with the Securities and Exchange Commission.

The notes will have make-whole and par calls and a 101% change-of-control put.

Citigroup Global Markets Inc., Deutsche Bank Securities Inc., RBC Capital Markets, LLC and Wells Fargo Securities, LLC are the bookrunners.

Proceeds will be used for general corporate purposes.

Stanley Black & Decker is a New Britain, Conn.-based maker of hand tools, power tools and accessories.
