Hallmark Financial seeks representation on Special Underwriters' Alliance board

By Lisa Kerner

Charlotte, N.C., Jan. 16 - Specialty Underwriters' Alliance, Inc. investor Hallmark Financial Services Inc. nominated three people for election as directors at the company's 2009 annual meeting, according to a schedule 13D/A filed with the Securities and Exchange Commission.

The Hallmark Financial nominees are:

• C. Gregory Peters, president and chief executive officer of Remote Knowledge, Inc.;

• Mark E. Pape, a partner at Tatum LLC; and

• Robert M. Fishman, former managing director of Southwest Insurance Partners, Inc.

Hallmark Financial reserved the right to put forth additional nominees if there are additional vacancies on the board, the filing said.

It was previously reported that in July, the company's board rejected Hallmark Financial's bid to buy Special Underwriters' Alliance in a stock exchange valued at $6.50 per share.

Hallmark Financial, a Fort Worth property and casualty insurer, beneficially owns 9.9% of Specialty Underwriters' Alliance, a Chicago commercial insurance provider.
