Citigroup to price buffered PLUS linked to SDPR S&P Oil & Gas ETF

Morgantown, W.Va., Feb. 15 – Citigroup Global Markets Holdings Inc. plans to price 0% buffered Performance Leveraged Upside Securities due Aug. 20, 2020 linked to the SPDR S&P Oil & Gas Exploration & Production exchange-traded fund, according to a 424B2 filing with the Securities and Exchange Commission.

The notes are guaranteed by Citigroup Inc.

The payout at maturity will be par of $10 plus 200% of any fund gain, up to a maximum return of at least 39%.

If the fund falls by up to 10%, the payout will be par. Otherwise, investors will lose 1% for every 1% decline beyond 10%.

Citigroup Global Markets Inc. is the agent with Morgan Stanley Smith Barney LLC as a dealer.

The notes will price on Feb. 16.

The Cusip number is 17326E142.
