Solar Capital to raise funds for debt investments via stock offer

San Diego, Jan. 7 - Solar Capital Ltd. will offer common shares, according to a 497 filing with the Securities and Exchange Commission.

The externally managed finance company seeks to generate current income and capital appreciation through debt and equity investments in the form of senior secured loans, mezzanine loans and equity securities.

The company will offer 6 million shares, with an additional 900,000 shares to cover over-allotments.

Citigroup Global Markets Inc., Deutsche Bank Securities Inc., Goldman Sachs & Co., J.P. Morgan Securities LLC, Morgan Stanley & Co. LLC and Wells Fargo Securities, LLC are the bookrunners. SunTrust Robinson Humphrey, Inc. is the lead manager. BMO Capital Markets Corp. and RBC Capital Markets, LLC are the senior co-managers. BB&T Capital Markets and Ladenburg Thalmann & Co. Inc. are the co-managers.

The sales load is 3.75%.

New York-based Solar Capital Partners, the company's investment adviser, is led by Michael S. Gross and Bruce Spohler with the assistance of senior investment professionals Brian Gerson, Cedric Henley, David Mait and Suhail Shaikh.
