By Paul A. Harris

Portland, Ore., Sept. 11 - London-based Soho House began a roadshow on Wednesday for a £105 million offering of five-year senior secured notes, according to an informed source.

The deal will be marketed in the United States as well as in the United Kingdom.

Imperial Capital is the bookrunner.

The Rule 144A and Regulation S for life notes become callable in two years at par plus 75% of the coupon.

Proceeds will be used to refinance debt.
