New Issue: JPMorgan prices $363,000 13% autocallable contingent interest notes on three stocks

Chicago, Dec. 13 – JPMorgan Chase Financial Co. LLC priced $363,000 of autocallable contingent interest notes due April 18, 2024 linked to the common stocks of Delta Air Lines, Inc., Exxon Mobil Corp. and Skyworks Solutions, Inc., according to a 424B2 filing with the Securities and Exchange Commission.

Investors will receive a coupon of 13%, paid monthly, if each underlying stock closes at or above its 60% trigger level on the related monthly observation date.

The securities will be called automatically at par starting July 14 and on any subsequent monthly review date if the worst performing stock closes at or above its initial level.

At maturity, if any stock closes at or above its initial level or each stock closes at or above the 60% trigger level, the payout will be par.

If each stock closes below its initial level and any stock closes below its trigger level, investors will be fully exposed to the decline of the least performer.

The notes are guaranteed by JPMorgan Chase & Co.
