Sirius XM Radio files $1 billion shelf registration

Knoxville, Tenn., March 12 - Sirius XM Radio Inc. filed a $1 billion common units and debt securities shelf registration in an S-3 filing with the Securities and Exchange Commission.

The registration covers debt securities, preferred stock, common stock, depositary shares, warrants, stock purchase contracts and units.

The securities may be structured as convertibles.

Proceeds will be used for working capital and for general corporate purposes.

Sirius, formerly Sirius Satellite Radio Inc., is a satellite radio provider based in New York.
