Lehman Brothers to price Yeelds linked to SanDisk

Seattle, Jan. 13 - Lehman Brothers Holdings Inc. plans to price 28.2% notes in the Yield-Enhanced Equity-Linked Debt Securities (Yeelds) structure linked to SanDisk Corp. common stock, according to a 424B5 filing with the Securities and Exchange Commission.

At maturity on July 20, 2006, the notes will par unless SanDisk stock trades at less than 70% of the initial value at pricing of the notes, in which case the payout is the lesser of par and the value of 1 share of SanDisk stock.

Lehman Brothers will be the underwriter.
