By Andrea Heisinger

Omaha, March 31 - Questar Market Resources, Inc. announced Monday it will price an issue of notes (Baa3/BBB+), according to a 424B5 filing with the Securities and Exchange Commission.

The issue is Tuesday's business, a source close to the deal said.

Banc of America Securities LLC is bookrunner, and Wachovia Capital Securities LLC is a joint lead manager.

Co-managers are Barclays Capital Inc., BMO Capital Markets, J.P. Morgan Securities Inc., SunTrust Robinson Humphrey, Wells Fargo Securities, Lazard Capital Markets, RBS Greenwich Capital, Societe Generale and UBS Securities.

Proceeds will be used to reduce short-term bank loans incurred in February and March 2008, with the remainder used to reduce intercompany short-term debt owed to Questar.

The subsidiary of natural gas company Questar Corp. is based in Salt Lake City.
