Qualcomm to offer two series of senior notes via four bookrunners

Lexington, Ky., May 5 – Qualcomm Inc. plans to offer two series of dollar-denominated senior notes (A2/A), according to a 424B2 filing with the Securities and Exchange Commission.

The notes will be callable with a make-whole premium until the par call date, at which point they will be callable at par.

BofA Securities Inc., Citigroup Global Markets Inc., Goldman Sachs & Co. LLC and J.P. Morgan Securities LLC are the joint bookrunning managers.

U.S. Bank Trust Co., NA is the trustee.

Cravath, Swaine & Moore LLP will act as counsel to Qualcomm, and Davis Polk & Wardwell LLP will serve as counsel to the underwriters.

The proceeds will be used to repay at maturity the company’s $1.5 billion debt due May 2022 and the excess, if any, for general corporate purposes.

Based in San Diego, Qualcomm creates semiconductors, software and services related to wireless technology.
