A. Schulman adds new board member under agreement with stockholder

Charlotte, N.C., Jan. 8 - A. Schulman, Inc. appointed Dr. Irvin D. Reid to its board of directors, effective immediately, under its November agreement with stockholder Ramius, LLC.

Reid, president and professor in management at Wayne State University in Detroit, will serve a one-year term that expires at the 2009 annual meeting of stockholders, the company said.

A selection committee of independent directors chose Reid from among candidates recommended by Ramius, A. Schulman said.

A. Schulman's agreement with Ramius avoided a proxy contest at the company's 2008 annual meeting in December, it was previously reported.

Under the agreement, independent director Peggy G. Miller agreed not to stand for re-election and retired from the board, A. Schulman said.

Ramius agreed to vote its shares in favor of A. Schulman's nominees, David G. Birney and John B. Yasinsky, for re-election to the board.

A. Schulman is an Akron, Ohio, plastic resins and plastic compound manufacturer.
