OvaScience negotiates $35 million private placement of common shares

Company sells its shares at $9.00 apiece; Leerink Swann is the agent

Knoxville, Tenn., March 14 - OvaScience, Inc. arranged a $35 million private placement of stock on March 12, according to an 8-K filed Thursday with the Securities and Exchange Commission.

Leerink Swann LLC is the agent. Ladenburg Thalmann & Co. Inc., Oppenheimer & Co. Inc., Roth Capital Partners, LLC and Wedbush Securities Inc. are co-agents.

The company will sell 3,888,880 common shares at $9.00 per share.

Settlement is expected March 18.

Based in Cambridge, Mass., OvaScience is a private fertility company focused on new treatments for infertility.
