Oryon seals $250,000 tranche of $2 million private placement of units

Company offers units of two shares and two warrants to Maxum Overseas

Knoxville, Tenn., Aug. 31 - Oryon Technologies Inc. settled a $250,000 second tranche of a $2 million private placement of units with Maxum Overseas Fund on Aug. 31, according to an 8-K filed Thursday with the Securities and Exchange Commission. The company raised $725,000 in the placement between Nov. 2, 2011 and April 23.

The company sold 725,000 units of two common shares and warrants for two shares at $1.00 per unit in the first tranche and 250,000 units in the second tranche.

Each warrant is exercisable at $0.75 for five years. The strike price is a 4.17% premium to $0.72, the Aug. 30 closing share price.

Proceeds will be used for general corporate purposes.

Oryon is an Addison, Texas, developer and manufacturer of next-generation electroluminescent lighting technology.
