Scopus Video shareholder calls special meeting for June 16, asks for support

Charlotte, N.C., May 19 - Optibase Ltd. said it convened a general meeting of Scopus Video Networks Ltd. on June 16 to declassify the Scopus board of directors and to elect a slate of directors.
The record date for the meeting is May 9, according to an Optibase statement.
Scopus does not believe that the shareholder's five nominees would achieve a well-balanced and homogenous board, Optibase reported in a schedule 13D filing with the Securities and Exchange Commission.
Two of Optibase's nominees are current members of the Scopus board.
Optibase urged shareholders to vote in favor of its slate at the general meeting.
In a letter to Scopus shareholders, Optibase accused the Scopus board of being motivated by "self-enriching interests" and of "ignoring basic fundamental principles of the Israeli Companies Law."
Herzliya, Israel-based Optibase is a provider of equipment for professional video applications in the broadband internet protocol, television, broadcast, government, enterprise and post-production markets.
Scopus, located in Rosh Ha'ayin, Israel, develops and supports digital video networking, offering video gateways, encoders, decoders, and network management products.
