Harbinger names proposed Openwave board

Charlotte, N.C., June 14 - Harbinger Capital Partners Master Fund I, Ltd. and Harbinger Capital Partners Special Situations Fund, LP said they expect the following people to form the board of directors of Openwave Systems, Inc. following completion of the investors' tender offer on June 21:

• Charles M. Parrish - co-founder and former executive vice president of Openwave;

• Tom Wheeler - managing director of Core Capital Partners;

• Robert Geiman - general partner of Polaris Venture Partners;

• Jacques Leduc - a managing partner and co-founder of Trio Capital Inc.;

• James L. Zucco, Jr. - chairman and chief executive officer of Corente;

• Andrew Breen - technology entrepreneur and executive;

• Eugene I. Davis - chairman and chief executive officer of Pirinate Consulting Group, LLC;

• Joel B. Piassick - executive vice president of Harbert Management Corp., a Harbinger affiliate;

• Howard P. Kagan - managing director and director of investments of Harbinger Capital Partners; and

• Mike Mulica - president and chief executive officer of BridgePort Networks.

On June 7, Harbinger's subsidiary Oreo Acquisition Co., LLC reduced the per-share offer price for Openwave by $1.20, the amount of the company's dividend declared on June 4, to $7.10. As a result, the tender offer was extended to June 21 from June 19.

The original purchase price for the Redwood City, Calif., software company under the May 22 offer was $8.30 per share.
