Omnicare $250 million 10-year notes talked at 6 1/8%-6 3/8%, pricing Tuesday morning

St. Louis, Mo., June 9 - Price talk of 6 1/8%-6 3/8% emerged Monday on Omincare, Inc.'s upcoming sale of $250 million 10-year senior subordinated notes (Ba2/BB+), according to a syndicate source.

The deal is expected to price on Tuesday morning, the source added.

Lehman Brothers, JP Morgan and UBS Warburg are joint bookrunners for the off-the-shelf sale. SunTrust Robinson Humphrey, Wachovia Securities and CIBC World Markets are co-managers.

The notes will be non-callable for five years and will contain a three-year equity clawback for up to 35%.

Proceeds will be used to help repay the company's existing $474 million credit facility.
