Old Mutual Funds II to transfer nine funds to Touchstone mutual funds

Minneapolis, Feb. 10 - Old Mutual Funds II said its shareholders approved the reorganization of nine funds into mutual funds advised by Touchstone Advisors, Inc., according to a 497 filing with the Securities and Exchange Commission.

Once other closing conditions are satisfied, all of the assets and some liabilities of each fund will become the assets and liabilities of the corresponding Touchstone fund, and shareholders in each fund will become shareholders in the corresponding Touchstone fund.

The following funds and the names of their corresponding Touchstone funds are affected:

• Old Mutual Analytic U.S. Long/Short Fund will transfer to Touchstone U.S. Long/Short Fund;

• Old Mutual Barrow Hanley Value Fund will transfer to Touchstone Value Fund;

• Old Mutual Copper Rock International Small Cap Fund will transfer to Touchstone International Small Cap Fund;

• Old Mutual Focused Fund will transfer to Touchstone Focused Fund;

• Old Mutual TS&W Small Cap Value Fund will transfer to Touchstone Small Cap Value Opportunities Fund;

• Old Mutual TS&W Mid-Cap Value Fund will transfer to Touchstone Mid Cap Value Opportunities Fund;

• Old Mutual Barrow Hanley Core Bond Fund will transfer to Touchstone Total Return Bond Fund;

• Old Mutual Dwight Intermediate Fixed Income Fund will transfer to Touchstone Core Bond Fund; and

• Old Mutual Dwight Short Term Fixed Income Fund will transfer to Touchstone Ultra Short Duration Fixed Income Fund.

The reorganizations are expected to be effective during the second quarter of 2012.
