Oklahoma Gas & Electric to price senior notes via three bookrunners
Chicago, March 21 – Oklahoma Gas & Electric Co. is offering for sale a single tranche of fixed-rate senior notes, according to a 424B5 filing with the Securities and Exchange Commission on Tuesday morning.
There will be provisions for a potential make-whole early redemption or a par call during the months before the maturity date.
Mizuho Securities USA LLC, RBC Capital Markets, LLC and Wells Fargo Securities, LLC are working as bookrunners.
BOKF, NA will be the trustee.
GableGotwals and Husch Blackwell LLP are advising Oklahoma Gas, and Chapman and Cutler LLP is working as counsel for the underwriters.
Proceeds will be added to the company’s general funds for general corporate purposes, including to help fund the repayment of the $500 million 0.553% senior notes due May 26, 2023. General corporate purposes will also include funding a capital investment program and working capital needs.
The electric utility is based in Oklahoma City.
