New Issue: Nomura prices $1.9 billion of notes due 2025, 2027, 2029 at par

Buffalo, N.Y., June 29 – Nomura Holdings Inc. priced $1.9 billion of notes (Baa1/BBB+) in three tranches on Tuesday, according to an FWP filed with the Securities and Exchange Commission and additional details from a market source.

The company priced $800 million of 5.099% three-year notes at par for a spread of 190 basis points over Treasuries. Price was in the Treasuries plus 205 bps area.

Nomura also priced $500 million of 5.386% five-year notes at par for a spread of 215 bps over Treasuries versus talk in the 230 bps area.

The issuer also priced $600 million of 5.605% seven-year notes at par for a spread of 235 bps over Treasuries. Price talk was in the Treasuries plus 250 bps area.

The notes are non-callable.

Nomura Securities International, Inc., BofA Securities, Inc., Citigroup Global Markets Inc., BBVA Securities Inc., BMO Capital Markets Corp., CIBC World Markets Corp., Credit Agricole CIB, Natixis Securities Americas LLC and Scotia Capital (USA) Inc. are the joint lead managers and joint bookrunners for the issue.

The notes will be listed on the Singapore Exchange Securities Trading Ltd.

Proceeds will be used for general corporate purposes.

The financial holding company is based in Tokyo.
