MPLX to offer senior notes via three bookrunners

Buffalo, N.Y., Aug. 8 – MPLX LP intends to price an offering of senior notes, according to a 424B5 filing with the Securities and Exchange Commission.

The notes will have a make-whole followed by a par call.

Barclays, Mizuho Securities USA LLC and Wells Fargo Securities, LLC are the joint bookrunning managers.

Bank of New York Mellon Trust Co., NA is the trustee.

Jones Day is advising the issuer. Cravath, Swaine & Moore LLP is working as counsel to the underwriters.

Proceeds will be used to repay, redeem or otherwise retire some or all of MPLX’s and Andeavor Logistics LP’s 3.5% senior notes due December 2022 and MPLX’s 3.375% senior notes due March 2023. Any remaining proceeds will be used for general partnership purposes.

MPLX is a Findlay, Ohio-based owner, operator and developer of crude oil pipeline and midstream assets in the United States.
