MoSys greenshoe exercise lifts public offering of stock to $23 million

Bookrunner Roth Capital assists; proceeds fund corporate purposes

San Luis Obispo, Calif., March 4 – Underwriters for MoSys, Inc.’s public sale of stock exercised the $3 million greenshoe in full, lifting total proceeds to $23 million. The deal priced on Feb. 27 for $20 million plus the greenshoe.

The company sold 14,375,000 common shares at $1.60 per share. The price per share is a 20.79% discount to the Feb. 26 closing share price of $2.02. Of the shares, 1,875,000 represented the fully exercised greenshoe.

Roth Capital Partners is the bookrunning manager.

The company’s chief executive officer and chief operating officer purchased 406,250 shares, or $650,000.

Proceeds will be used for general corporate purposes, including working capital.

Sunnyvale, Calif.-based MoSys designs, develops, markets and licenses embedded memory intellectual property used by the semiconductor industry and electronic product manufacturers.
