Aqua America offers $900 million of 10- and 30-year senior notes

Knoxville, Tenn., April 24 – Aqua America, Inc. will price a $900 million offering of 10- and 30-year fixed-rate senior notes, according to a 424B5 filing with the Securities and Exchange Commission.

The notes feature a make-whole call and then a par call.

RBC Capital Markets LLC, Goldman Sachs & Co. LLC, BofA Merrill Lynch, Morgan Stanley & Co. LLC and Wells Fargo Securities LLC are the bookrunners.

PNC Capital Markets LLC, Barclays, Citizens Capital Markets Inc., Huntington Capital Markets, MUFG, J.P. Morgan Securities LLC and TD Securities (USA) LLC are the co-managers.

Proceeds will be used to fund the company's planned acquisition of LDC Funding LLC, to redeem approximately $314 million of privately placed notes and for general corporate purposes.

Aqua America is a Bryn Mawr, Pa.-based water utility.
