Morgan Stanley to price 0% notes linked to Nasdaq 100

New York, June 26 - Morgan Stanley plans to price an issue of 0% Performance Leveraged Upside Securities senior medium-term series F notes due Aug. 20, 2007 linked to the Nasdaq 100 index, according to an FWP filing with the Securities and Exchange Commission.

At maturity, investors receive par plus triple any positive return on the index, with a maximum gain of between 11.3% and 11.4%, or par minus any loss in the index.

The notes are expected to price in July.

Morgan Stanley & Co. Inc. will be the underwriter.
