Morgan Stanley plans issue of 0% capital-protected notes linked to Tokyo Stock Price

New York, June 21 - Morgan Stanley plans to price an issue of 0% global medium-term series F capital-protected notes due June 30, 2008 linked to the Tokyo Stock Price index, according to an FWP filing with the Securities and Exchange Commission.

The payout at maturity will be par plus 75% of any positive return on the index. Investors will receive at least par.

Morgan Stanley & Co. Inc. will be the underwriter.
