Morgan Stanley plans issue of 0% notes linked to Nasdaq 100 index

New York, Feb. 22 - Morgan Stanley plans to price an offering of 0% medium-term series F notes due July 20, 2007 in the PLUS (Performance Leveraged Upside Securities) structure linked to the Nasdaq 100 index, according to an FWP filing with the Securities and Exchange Commission.

The payout at maturity will be based on the performance of the index. Investors will receive par plus triple any positive return on the index, with the return capped at between 14% and 16%, the exact value to be set at pricing.

There will be a floor of par for the payout.

The securities will be issued at par of $10.00.

Morgan Stanley will be the underwriter and will apply to list the securities under "NDPL" on the Nasdaq National Market.
