By Paul A. Harris

St. Louis, June 18 - MobiFon Holdings BV started the roadshow Wednesday for an offering of $233 million senior notes due 2009 (CCC+), according to an informed source.

The deal is expected to price during the week of June 23, the source added.

Goldman Sachs & Co. is the bookrunner on the Rule 144A deal. Lazard is co-manager.

The notes will be non-callable for three years. The company will set aside 1.5 years of interest payments in an escrow account.

Proceeds will be used to repay intercompany loans from ClearWave NV.

The company is a provider of telephone services in Romania, and is incorporated in the Netherlands.
