APAC Customer Services to consider founder's offer

Charlotte, N.C., Feb. 2 - APAC Customer Services, Inc. said its board of directors is forming a special committee of independent directors to review a proposal from Tresar Holdings LLC to acquire the company for $1.61 per share, or approximately $81.4 million.

Tresar is an acquisition vehicle formed by APAC founder and chairman of the board Theodore G. Schwartz.

The transaction would be conditioned upon the receipt of debt financing, Tresar said.

Schwartz and related holders own 49% of the Deerfield, Ill., customer care services company's outstanding common stock.
