Max Re Capital files $635.93 million shelf

Washington, Sept. 26 - Max Re Capital Ltd. filed a $635.93 million shelf registration with the Securities and Exchange Commission. Of the shelf amount, $135.93 million is part of a secondary offering of up to 5,539,058 shares of Max Re Capital that may be sold by shareholders.

The S-3 filing allows the company to issue common and preferred shares, depositary preference shares, debt securities, warrants, purchase contracts and units. Securities may be issued in the form of convertibles.

The Hamilton, Bermuda-based insurance and reinsurance company said offerings authorized by the shelf would be used for general corporate purposes.
