Lehman plans 0% principal-protected notes linked to Nikkei 225

Seattle, Dec. 15 - Lehman Brothers Holdings Inc. plans to price an issue of zero-coupon principal-protected notes due Dec. 21, 2011 linked to the Nikkei 225 index, according to an FWP filing with the Securities and Exchange Commission.

The notes are expected to price on Dec. 18 and settle on Dec. 21.

The payout at maturity will be par plus any positive return on the index. The return, if any, will be multiplied by the upside participation rate, which will be at least 132% and will be determined at pricing.

Investors will receive at least par.

Lehman Brothers Inc. will be the underwriter.
