Amtrol granted approval to merge Water Soft debtor with new subsidiary

Pittsburgh, April 10 - Amtrol Holdings, Inc. obtained court approval to merge debtor Water Soft Inc. with a newly created wholly owned subsidiary, according to a Tuesday filing with the U.S. Bankruptcy Court for the District of Delaware.

The merger is part of a corporate restructuring under Amtrol's plan of reorganization.

The new company will be called Water Soft LLC, and after the merger, all of Water Soft Inc.'s assets and liabilities will be transferred to Water Soft LLC.

Also, as part of the corporate restructuring, reorganized Amtrol will hold all of the interests in newly created wholly owned subsidiary Amtrol Water Technology LLC.

Water Soft LLC will become a wholly owned subsidiary of Amtrol Water Technology.

Amtrol, a West Warwick, R.I., manufacturer and marketer of water storage and pressure control products, water heaters and cylinders, filed for bankruptcy on Dec. 18. Its Chapter 11 case number is 06-11446.
