Keynote to get $185 million credit facility with buyout by Thoma Bravo

New York, June 24 - Keynote plans on getting a $185 million senior secured credit facility to help fund its acquisition by Thoma Bravo LLC, according to an 8-K filed with the Securities and Exchange Commission on Monday.
Ares Capital Corp. is leading the deal.
The facility consists of a $10 million revolver and a $175 million term loan.
Under the agreement, Keynote is being bought for $20 per share in cash. The transaction is valued at about $395 million.
Closing is expected before Sept. 30, subject to customary conditions, including requisite regulatory approvals and the approval of Keynote stockholders.
Keynote is a San Mateo, Calif.-based Internet and mobile cloud testing & monitoring company.
