AmerisourceBergen plans offering of two- and 10-year senior notes; price talk emerges

Los Angeles, March 25 – AmerisourceBergen Corp. plans to price senior notes in two parts, according to a 424B5 filing with the Securities and Exchange Commission.

The company is expected to sell notes due March 15, 2023 with price talk in the Treasuries plus 85 basis points area and notes due March 15, 2031 talked in the Treasuries plus 115 bps to 120 bps area, according to a market source.

J.P. Morgan Securities LLC, BofA Securities, Inc. Morgan Stanley & Co. LLC and Wells Fargo Securities, LLC are the joint bookrunners.

Proceeds will be used to finance an acquisition and for general corporate purposes.

AmerisourceBergen will acquire the majority of Walgreens Boots Alliance, Inc.’s Alliance Healthcare businesses, which are pharmaceutical wholesalers in Europe. The transaction is valued at $6.5 billion.

AmerisourceBergen is a Chesterbrook, Pa.-based pharmaceutical sourcing and distribution company.
