American Water plans to price offering of 10-, 30-year senior notes

Knoxville, Tenn., Nov. 14 – American Water Capital Corp. will conduct a two-part offering of senior notes, according to a 424B5 filed with the Securities and Exchange Commission.

The offering will include a tranche of fixed-rate notes due Dec. 1, 2026 as well as a tranche of fixed-rate notes due Dec. 1, 2046.

The 2026 notes have a make-whole call until Sept. 1, 2026 and then a par call.

The 2046 notes have a make-whole call until June 1, 2046 and then a par call.

The bookrunners are BofA Merrill Lynch, Mizuho Securities USA Inc., RBC Capital Markets Corp., TD Securities (USA) LLC and Regions Securities LLC.

BB&T Capital Markets, Academy Securities, Blaylock Beal Van, LLC, C.L. King & Associates, Loop Capital Markets LLC and Multi-Bank Securities are the co-managers.

Proceeds will be used to repay commercial paper and for general corporate purposes.

The investor-owned water and wastewater utility company is based in Voorhees, N.J.
