JPMorgan plans uncapped contingent buffered notes on iShares MSCI EAFE

Morgantown, W.Va., Jan. 3 – JPMorgan Chase Financial Co. LLC plans to price 0% uncapped contingent buffered equity notes due Jan. 29, 2021 linked to the iShares MSCI EAFE exchange-traded fund, according to a 424B2 filing with the Securities and Exchange Commission.

The notes will be guaranteed by JPMorgan Chase & Co.

If the fund finishes at or above the initial level, the payout at maturity will be par plus the greater of the gain and the contingent minimum return of at least 37%.

Investors will receive par if the fund falls by up to 25% and will be fully exposed to any losses if the fund drops by more the 25% contingent buffer.

J.P. Morgan Securities LLC is the agent.

The notes will price on Jan. 26.

The Cusip number is 46646QHG3.
