American Stem Cell dividend distribution delayed due to SEC filing

Philadelphia, Jan. 19 - Regal One Corp, Inc. said Thursday that a previously announced dividend distribution of American Stem Cell, Inc. common shares has been delayed.

Regal previously announced that shareholders of record on Aug. 1, 2005 would receive a dividend of common shares of American Stem Cell Inc.

American Stem Cell is a newly founded stem cell company based upon technology developed by Los Angeles-based Lifeline Cell Technology.

The distribution of this dividend has been delayed pending completion of the registration process with the Securities and Exchange Commission of American Stem Cell, officials said.

A registration statement was filed Sept. 20 amended Oct. 3, and the company is in review with the SEC, officials said.

American Stem Cell is undergoing a restructuring among its various securities holders in response to recent developments, needs for interim funding and other related activities, officials said.

Regal management said it would respond promptly to update shareholders of further developments as information becomes available.

Regal One is a Los Angeles business development corporation.
