Abercrombie & Fitch director resigns from some committees as his independence is questioned

Charlotte, N.C., June 9 - Abercrombie & Fitch Co. said a few institutional investors believe company director John W. Kessler should not be considered independent and should not be a member of the company's independent director committees, according to a form 8-K filed on Tuesday with the Securities and Exchange Commission.

The company's board determined that Kessler has no material relationship with Abercrombie & Fitch and is independent.

Kessler will, however, immediately resign from the board's nominating and governance committee and from the compensation committee.

He will continue to be a member of the board and of the board's executive committee, Abercrombie & Fitch said.

Abercrombie & Fitch called Kessler's service "distinguished" and his efforts on behalf of the company "tireless."

Kessler is the company's longest-serving outside director, having been a member of the board since 1998 when the company was spun off from its former parent, the filing said.

The New Albany, Ohio-based specialty retailer will hold its 2009 annual meeting on Wednesday.
