Offering of 7 million shares conducted at 20% premium to closing price

Knoxville, Tenn., Aug. 6 - American Natural Energy Corp. settled a $420,000 private placement of stock on July 31, according to an 8-K filed Monday with the Securities and Exchange Commission.
The company sold 7 million common shares at $0.06 per share, which is a 20% premium to the July 13 closing share price of $0.05.
Tulsa, Okla.-based American Natural is an oil and natural gas exploration company.
