Brazil’s Hypermarcas calls remaining 6˝% notes due 2021 at 103.25

Chicago, April 6 – Hypermarcas SA has issued a call for its outstanding 6˝% senior notes due 2021.

The notes will be redeemed on April 20 at a purchase price of 103.25% of par, or $1,032.50 per $1,000 principal amount of notes, according to a redemption notice.

The company also will pay accrued interest up to but excluding the redemption date, for a total payment of $1,065.00 per $1,000 of notes.

Deutsche Bank Trust Co. Americas is the trustee, registrar, paying agent and transfer agent. Deutsche Bank Luxembourg SA is the Luxembourg paying agent, registrar and transfer agent. MUFG, London is the Japanese paying agent.

The company tendered for the 6˝% notes from Feb. 12 until 11:59 p.m. ET on March 11.

As announced before, holders had tendered $272.5 million, or 87.15%, of its $312.6 million outstanding principal amount of 6˝% notes due 2021 by 5 p.m. ET on Feb. 26, the early tender date.

The total payment was $1,038.50 for each $1,000 principal amount of notes tendered with consents by the early tender deadline, which included an early participation payment of $30.00.

Holders who tendered notes after the early tender date would not have received the early premium.

The company also paid accrued interest up to but excluding the settlement date.

Hypermarcas is a pharmaceutical company based in Sao Paulo, Brazil.
