Brazil's Hypermarcas offers to buy back up to $300 million 6½% notes

Tacoma, Wash., Oct. 28 - Hypermarcas SA began a cash tender offer for up to $300 million of its $750 million 6½% senior notes due 2021, according to a company news release.

The tender offer will expire at midnight ET on Nov. 25.

The company will pay $1,067.50 per $1,000 principal amount of notes plus accrued interest up to but excluding the settlement date. This amount includes a $30.00 early participation payment for each note tendered by 5 p.m. ET on Nov. 8, the early tender date.

If the amount of notes tendered exceeds the maximum tender amount, the acceptance of any tendered notes will be subject to proration.

The dealer managers are Bradesco BBI (212 888-9145), Citigroup Global Markets Inc. (800 558-3745 or 212 723-6106) and Morgan Stanley & Co. LLC (800 624-1808 or 212 761-1057). The information and tender agent is Global Bondholder Services Corp. (866 924-2200 or 212 430-3774).

Hypermarcas makes consumer goods in segments that include pharmaceuticals, beauty and personal care. It is based in Sao Paulo, Brazil.
