Eden Springs offers fixed-rate notes for €35 million of floaters

New York, Jan. 15 – Eden Springs announced that it is offering new fixed-rate notes in exchange for up to €35 million of its floating-rate senior secured notes due 2019 issued by Hydra Dutch Holdings 2 BV.

Holders will receive €1,000 of new notes for each €1,000 of the floating-rate notes.

Concurrently with the exchange offer, Hydra Dutch will sell additional fixed-rate notes for cash.

The total size of the fixed-rate issue is capped at €160 million, although Hydra Dutch may increase this amount.

Completion of the exchange is subject to the receipt of at least €125 million from the sale of new notes.

Holders of existing notes that subscribe for new notes in the cash sale will receive priority of acceptance in the exchange.

Terms of the new notes will be announced by 12 p.m. ET on Jan. 23. The exchange ends at 12 p.m. ET on Jan. 28.

The exchange is being conducted under Regulation S and in the United Kingdom is only open to professional investors. The new notes will be sold under Rule 144A and Regulation S.
