Vertis, American Color Graphics extend timeline to sign merger agreement

Charlotte, N.C., Aug. 15 - Vertis, Inc. and American Color Graphics Inc. agreed to extend until Aug. 20 the time for the companies to sign a definitive merger agreement.

The letter of intent will automatically extend for an additional week after Aug. 20, unless Vertis or American Color Graphics provides written notice otherwise.

Vertis and American Color Graphics signed a letter of intent to merge on July 23. The due diligence process is continuing.

"We remain committed to this transaction subject to the timely and satisfactory completion of on-going negotiations," Vertis chairman and chief executive officer Mike DuBose said in a company news release.

"This proposed merger will bring together the operations of American Color Graphics, one of the largest printing and premedia companies in North America, into Vertis' nationwide marketing and printing services platform."

American Color Graphics is a full-service premedia and print company with eight print locations. The company is based in Brentwood, Tenn.

Vertis, which does business as Vertis Communications, provides print advertising and marketing solutions to retail and consumer services companies. The company is based in Baltimore and has more than 100 U.S. locations.
