American Cellular plans $425 million offering on notes

New York, Feb. 15 - Dobson Communications Corp. said its American Cellular Corp. subsidiary plans to sell $425 million of senior notes as part of a refinancing plan.

The Oklahoma City-based wireless phone company also plans to obtain a senior secured credit facility for up to $850 million.

Proceeds will be used to refinance American Cellular's existing credit facility, to fund a tender for its $900 million of 10% senior notes due 2011 and to pay for the redemption of its $18.1 million of 9½% senior notes due 2009.

No further details were released on the new notes.

Morgan Stanley & Co. Inc. is dealer manager for the tender offer.
