HSBC plans to price two-year AMPS linked to iShares MSCI EAFE

Tacoma, Wash., June 26 - HSBC USA Inc. plans to price 0% Accelerated Market Participation Securities due July 16, 2014 linked to the iShares MSCI EAFE index fund, according to a 424B2 filing with the Securities and Exchange Commission.

The payout at maturity will be par plus double any increase in the exchange-traded fund's share price, subject to a maximum return of 45% to 55% that will be set at pricing. Investors will be exposed to any decline in the share price.

The notes will price July 2 and settle July 16.

HSBC Securities (USA) Inc. is the agent.

The Cusip number is 4042K1U50.
