HSBC plans return optimization notes on iShares MSCI Emerging Markets

Tacoma, Wash., Oct. 4 - HSBC USA Inc. plans to price 0% return optimization securities with contingent protection due Oct. 31, 2012 linked to the iShares MSCI Emerging Markets index fund, according to an FWP filing with the Securities and Exchange Commission.

The payout at maturity will be par of $10 plus 1.5 times any increase in the fund's share price, subject to a maximum return of 30% to 36% that will be set at pricing.

If the fund return is between zero and negative 25%, investors will receive par.

If the fund return is less than negative 25%, the payout will be par plus the fund return.

The notes (Cusip 40432R534) are expected to price Oct. 26 and settle Oct. 29.
