Honeywell to sell dollar-denominated notes due 2024, 2028, 2033

Lexington, Ky., Oct. 28 – Honeywell International Inc. will price a three-part offering of senior notes due 2024, 2028 and 2033 and as a sidenote is also offering a tranche of euro-denominated notes due 2034, according to multiple 424B5 filings with the Securities and Exchange Commission.

The 2024 notes will be callable any time prior to maturity at a make-whole premium plus the applicable margin.

The 2028 and 2033 notes are callable at a make-whole premium plus the applicable margin prior to one month before maturity in the case of the 2028 notes and prior to three months before maturity in the case of the 2033 notes and after those dates at par.

Deutsche Bank Securities Inc., Goldman Sachs & Co. LLC, Mizuho Securities USA LLC and Morgan Stanley & Co. LLC are the joint bookrunners for the dollar notes.

Deutsche Bank Trust Co. Americas is the trustee.

Honeywell will be advised by in-house counsel.

Davis Polk & Wardwell LLP is the counsel for the underwriters.

Proceeds will be used for general corporate purposes, which may include the redemption or repayment of the €1.25 billion aggregate principal amount of 1.3% senior notes due 2023 maturing on Feb. 22, 2023.

The Charlotte, N.C.-based technology company makes aerospace products, control technologies for buildings and industry and performance materials.
