Hologic acquires AEG Elektrofotografie for €21 million

Erie, Pa., May 2 - Hologic, Inc. said it has acquired AEG Elektrofotografie GmbH and its group of related companies for €21 million subject to adjustment, plus a one-year earn-out of €1.7 million.

The purchase price consists of €16.3 million in cash and an additional 109,720 shares of Hologic common stock, according to a company news release.

AEG Elektrofotografie, a privately held company located in Warstein, Germany, manufactures photoconductor materials. The company is also the sole supplier of Hologic's amorphous selenium photoconductor coatings used in its Selenia digital mammography detectors.

"The agreement to acquire AEG Elektrofotografie is consistent with the company's long-term strategic plan," chairman and chief executive officer Jack Cumming said in the release.

"With our amorphous selenium detector technology, we are well positioned to benefit from the transition of analog to digital mammography. Bringing amorphous selenium technology in-house should allow us to more efficiently manage our supply chain, improve manufacturing margins and respond to the continued growth of Selenia and future product development requirements."

Hologic is a Bedford, Mass., developer of premium diagnostic and medical imaging systems for women's health care.
