American Airlines plans $828.64 million class AA, A, B pass-throughs

Charlotte, N.C., May 2 – American Airlines, Inc. announced an $828,644,000 offering of class AA, class A and class B pass-through certificates, series 2016-2, in an FWP and a 424B5 filed with the Securities and Exchange Commission on Monday.

The deal includes $567.36 million of class AA certificates with a final expected distribution date of June 15, 2028.

Also, there is $261,284,000 of class A certificates with a final expected distribution date of June 15, 2028.

Credit Suisse Securities (USA) LLC and Deutsche Bank Securities Inc. are the structuring agents and lead bookrunners.

Citigroup Global Markets Inc., Goldman Sachs & Co. and Morgan Stanley & Co. LLC are active bookrunners.

BofA Merrill Lynch, Barclays, J.P. Morgan Securities LLC, BNP Paribas Securities Corp. and Credit Agricole Securities are also bookrunners.

U.S. Bancorp Investments Inc. is a co-manager.

The company expects the class AA notes to be rated (Aa3/AA) and the class A notes to be rated (A2/A) by Moody’s Investors Service and Standard & Poor’s, respectively.

Proceeds will be used to acquire equipment notes that will be issued to finance the purchase of 22 aircraft delivered new, or scheduled to be delivered, to American from November to August 2016.

The commercial airline, which is a subsidiary of AMR Corp., is based in Fort Worth, Texas.
