J.P. Morgan Securities LLC, Morgan Stanley & Co. LLC, RBC Capital Markets Corp., Citigroup Global Markets Inc., HSBC Securities (USA) Inc. and MUFG are the joint bookrunners of the offering.

The proceeds will be used for general corporate purposes, including debt repayment.
