By Susanna Moon

Chicago, Oct. 25 – JPMorgan Chase Financial Co. LLC plans to price autocallable contingent interest notes due Jan. 30, 2020 linked to the common stock of Amazon.com, Inc., according to a 424B2 filing with the Securities and Exchange Commission.

The notes are guaranteed by JPMorgan Chase & Co.

The notes will pay a contingent quarterly coupon at an annual rate of 9.45% if the stock closes at or above its 65% trigger level on the review date for that quarter.

The notes will be called at par plus the contingent coupon if the stock closes at or above its initial price on any review date other than the first and final dates.

The payout at maturity will be par plus the contingent coupon unless the shares ever close below its 65% trigger level during the life of the notes, in which case investors will be fully exposed to any losses

J.P. Morgan Securities LLC is the underwriter.

The notes will price on Oct. 26.

The Cusip number is 48130U7D1.
