Goldman to price digital notes linked to Hang Seng China Enterprises

New York, May 22 - Goldman Sachs Group, Inc. plans to price 0% digital notes due between 48 and 51 months after issue linked to the Hang Seng China Enterprises index, according to a 424B2 filing with the Securities and Exchange Commission.

If the index gains or remains flat, the payout at maturity will be the grater of par plus the threshold settlement amount - anticipated to be 47% to 51% - and any gain in the index.

Investors will share in any losses.

Goldman Sachs & Co. is the underwriter.
